ZHEXPRESS



TERMS AND CONDITIONS OF CARRIAGE


    IMPORTANT NOTICE
    When ordering ZHEXPRESS'services you, as "Shipper", are agreeing, on your behalf and onbehalf of anyone else with an interest in the Shipment, that the Terms andConditions shall apply from the time that ZHEXPRESS accepts the Shipment unlessotherwise agreed in writing by an authorized officer of ZHEXPRESS.

    "Shipment" meansall documents or parcels that travel under one waybill and which may be carriedby any means ZHEXPRESS chooses, including air, road or any other carrier. A"waybill" shall include any label produced by ZHEXPRESS automatedsystems, waybill, or consignment note and shall incorporate these Terms andConditions. Every Shipment is transported on a limited liability basis asprovided herein. If Shipper requires greater protection, then insurance may be arrangedat an additional cost. (Please see below for further information). "ZHEXPRESS"means any member of the ZHEXPRESS Express Network.
    1. Customs, Exports andImports
    ZHEXPRESS may perform any ofthe following activities on Shipper's behalf in order to provide its servicesto Shipper: (1) complete any documents, amend product or service codes, and payany duties or taxes required under applicable laws and regulations, (2) act asShipper's forwarding agent for customs and export control purposes and as Receiversolely for the purpose of designating a customs broker to perform customsclearance and entry and (3) redirect the Shipment to Receiver's import brokeror other address upon request by any person who ZHEXPRESS believes in itsreasonable opinion to be authorized.
    2. Unacceptable Shipments
    Shipper agrees that itsShipment is acceptable for transportation and is deemed unacceptable if:
    ? it is classified ashazardous material, dangerous goods, prohibited or restricted articles by IATA(International Air Transport Association), ICAO (International Civil AviationOrganization), ADR (European Road Transport Regulation on dangerous goods), anyapplicable government department or other relevant organization;
    ? no customs declaration ismade when required by applicable customs regulations;
    ? it contains counterfeitgoods, animals, bullion, currency, banderols/tax stickers, bearer formnegotiable instruments, precious metals and stones; real or imitation firearms,parts thereof, weapons, explosives and ammunition; human remains, pornographyor illegal narcotics/drugs),
    ? it contains any other itemwhich ZHEXPRESS decides cannot be carried safely or legally, or
    ? its packaging is defectiveor inadequate.
    3. Deliveries andUndeliverables
    Shipments cannot be deliveredto PO boxes or postal codes. Shipments are delivered to the Receiver's addressgiven by Shipper (which in the case of mail services shall be deemed to be thefirst receiving postal service) but not necessarily to the named Receiverpersonally. Shipments to addresses with a central receiving area will bedelivered to that area. If the Shipment is deemed to be unacceptable, or it hasbeen undervalued for customs purposes, or Receiver cannot be reasonablyidentified or located, or Receiver refuses delivery or to pay for delivery, ZHEXPRESSshall use reasonable efforts to return the Shipment to Shipper at Shipper'scost, failing which the Shipment may be released, disposed of or sold by ZHEXPRESSwithout incurring any liability whatsoever to Shipper or anyone else, with theproceeds applied against service charges and related administrative costs andthe balance of the proceeds of a sale to be returned to Shipper.
    4. Inspection
    ZHEXPRESS has the right toopen and inspect a Shipment without notice.
    5. Shipment Charges
    ZHEXPRESS' Shipment chargesare calculated according to the higher of actual or volumetric weight and anyShipment may be re-weighed and re-measured by ZHEXPRESS to confirm thiscalculation. Shipper shall pay or reimburse ZHEXPRESS for all Shipment charges,ancillary charges, duties and taxes owed for services provided by ZHEXPRESS orincurred by ZHEXPRESS on Shipper's or Receiver's or any third party's behalfand all claims, damages, fines and expenses incurred if the Shipment is deemedunacceptable for transport as described in Section 2.
    6. ZHEXPRESS' Liability 
    ZHEXPRESS' liability isstrictly limited to direct loss and damage only. All other types of loss ordamage are excluded (including but not limited to lost profits, income,interest, future business), whether such loss or damage is special or indirect,and even if the risk of such loss or damage was brought to ZHEXPRESS' attentionbefore or after acceptance of the Shipment. If a Shipment combines carriage byair, road or other mode of transport, it shall be deemed to have been carriedby air. ZHEXPRESS' liability in respect of any one Shipment transported,without prejudice to Sections 7-11, is limited to its actual cash value andshall not exceed: 
    Claims are limited to oneclaim per Shipment settlement of which will be full and final settlement forall loss or damage in connection therewith. If Shipper regards these limits asinsufficient it must make a special declaration of value and request insuranceas described in Section 8 (Shipment Insurance) or make its own insurancearrangements, failing which Shipper assumes all risks of loss or damage.
    7. Time Limits for Claims
    All claims must be submittedin writing to ZHEXPRESS after thirty(30) days from the date that ZHEXPRESSaccepted the Shipment, failing which ZHEXPRESS shall have no liabilitywhatsoever.
    8. Shipment Insurance
    ZHEXPRESS can arrangeinsurance for Shipper covering the actual cash value in respect of loss of orphysical damage to the Shipment, provided the Shipper completes the insurancesection on the front of the waybill or requests it via ZHEXPRESS' automatedsystems and pays the applicable premium.
    Shipment insurance does notcover indirect loss or damage, or loss or damage caused by delays.
    9. Delayed Shipments
    ZHEXPRESS will make everyreasonable effort to deliver the Shipment according to ZHEXPRESS' regulardelivery schedules, but these schedules are not binding and do not form part ofthe contract. ZHEXPRESS is not liable for any damages or loss caused by delays.
    Customs clearance for eachparcel is a government action and it may delay the arrival date. No privatecompanies can affect their progress. If the delay of customs clearance is morethan 3 months, the consumer of the parcel may lodge an written report to ZHEXPRESSfor investigation. If the investigation confirms the loss of the parcel , theconsumer of the lost parcel may apply for the claim according to thecorresponding claim rules of ZHEXPRESS . The claim rules are as follows. If theconsumer paid the insurance for the lost parcel, he or she may claim for theactual value of the lost parcel. If the consumer did not pay the insurance forthe lost parcel, he or she may claim for the consignment fee for the lostparcel only.
    A natural person who hasneither registered the business in Australian Business Register nor holds acurrent Australian exportation licence and who trades in products with his orher customers overseas in Australia is a serious offence in terms ofcommonwealth law. When this person who uses ZHEXPRESS to consign products to anoversea country for the commercial purpose, he or she is not defined as theconsumer in commonwealth law and must be responsible for his or her ownoffence. This type of customer can never tell ZHEXPRESS about his or her realpurpose of the shipment which may be for commercial purpose; therefore, ZHEXPRESSas a forwarder will not be responsible for this customer's offence. ZHEXPRESSwill not be responsible for the delay of the clearance of this type ofcustomer.
    10. Circumstances Beyond ZHEXPRESS'Control
    ZHEXPRESS is not liable forany loss or damage arising out of circumstances beyond ZHEXPRESS' control.These include but are not limited to: electrical or magnetic damage to, orerasure of, electronic or photographic images, data or recordings; any defector characteristic related to the nature of the Shipment, even if known to ZHEXPRESS;any act or omission by a person not employed or contracted by ZHEXPRESS - e.g.Shipper, Receiver, third party, customs or other government official; “ForceMajeure” - e.g. earthquake, cyclone, storm, flood, fog, war, plane crash orembargo, riot or civil commotion, industrial action.
    11. International Conventions
    If the Shipment istransported by air and involves an ultimate destination or stop in a countryother than the country of departure, the Montreal Convention, or the WarsawConvention as applicable, governs. For international road transportation, theConvention for the International Carriage of Goods by Road (CMR) may apply.These conventions limit ZHEXPRESS' liability for loss or damage.
    12. Shipper's Warranties andIndemnity
    Shipper shall indemnify andhold ZHEXPRESS harmless for any loss or damage arising out of Shipper's failureto comply with any applicable laws or regulations and for Shipper's breach ofthe following warranties and representations:
    ? all information provided byShipper or its representatives is complete and accurate;
    ? the Shipment was preparedin secure premises by Shipper's employees;
    ? Shipper employed reliablestaff to prepare the Shipment;
    ? Shipper protected theShipment against unauthorized interference during preparation, storage andtransportation to ZHEXPRESS;
    ? the Shipment is properlymarked and addressed and packed to ensure safe transportation with ordinarycare in handling;
    ? all applicable customs,import, export and other laws and regulations have been complied with; and
    ? the waybill has been signedby Shipper's authorized representative and the Terms and Conditions constitutebinding and enforceable obligations of Shipper.
    13. Routing
    Shipper agrees to all routingand diversion, including the possibility that the Shipment may be carried viaintermediate stopping places.
    14. Governing Law
    Any dispute arising under orin any way connected with these Terms and Conditions shall be subject, for thebenefit of ZHEXPRESS, to the non-exclusive jurisdiction of the courts of, andgoverned by the law of, the country of origin of the Shipment and Shipperirrevocably submits to such jurisdiction, unless contrary to applicable law.
    15. Severability
    The invalidity or unenforceabilityof any provision shall not affect any other part of these Terms and Conditions. 

中環快遞物流運輸服務條款

    1. 客戶委托本公司快遞往各地之文件、貨物、包裹及運送有關之貨物,悉依本服務條款辦理。客戶委托前請先詳細閱讀本服務條款,全部了解后再填寫運單辦理一切快遞手續,一經填寫即當接受本服務條款。
    2. 以下物品不予收寄:發票、有價證券、國家禁寄的刊物、首飾、護照、私人證件、單證、合同、批文、現金、私人信函、核銷單、動物、藥物、毒品、液體物品、仿制物品、產地來源不正確物品、有腐蝕性或放射性等危險、易燃易爆品、白色粉末及一切有關法律禁止郵寄的物品。
    3. 寄件人須保證每票托寄物價值不高于3000元(幣種為澳元,下同)。托寄時本公司無審核托寄物的實際價值的義務。
    4. 每公斤體積大于5000立方厘米的托寄物,起計費重量的計算公式為:重量=長X寬X高/5000。以上計算公式中,長、寬、高的單位為厘米。
    5. 應有關司法、執法機關要求或出于安全需要,本公司有權對托寄物開封檢查、核實。如發現托寄物屬于不予收寄范圍,本公司有權拒收或退回,并有權收取所發生的費用。
    6. 寄件人如違反以下義務,應對因此造成的本公司全部損失承擔賠償責任:
    1) 寄件人必須如實申報托寄物內容,并準確、清楚地填寫托寄物資料和寄件人、收件人的名稱、地址、聯系電話等資料。
    2) 寄件人須將托寄物妥善包裝,易碎品更應加強內外包裝,做足一切措施保障托寄物安全運輸。
    每一個包裹的清關是政府行為,并且可能延誤抵達日期,任何私營公司不能影響他們的進度。如果清關超過3個月,該清關包裹的消費者可以向中環快遞提交書面報告以供調查。如果調查確認該包裹丟失,該丟失包裹的消費者可以根據中環快遞索賠規則申請索賠。索賠規則如下。如果該消費者為其丟失的包裹買過保險,他或她可以索取該包裹的實際價值。如果該消費者沒有支付其丟失包裹的保險費,他或她可以僅索取該丟失包裹的運費。
    一個自然人,既未在澳洲商業注冊局注冊生意也未持有現行澳洲出口執照而與海外客戶進行交易在聯邦法律被定義為嚴重刑事犯罪。當這樣的人以商業目的利用中環快遞運輸產品到海外國家,他或她不被聯邦法律定義為消費者并且必須承擔自己的罪行責任。這類客戶從不會告知中環快遞他或她所發送的貨物可能是作為商業目的,因此中環快遞作為運輸業者對該客戶的罪行不負責任。中環快遞對該類型客戶的清關延誤不負責任。
    7. 若寄件人指定在倉庫、物流中心、保稅區、海關督管區、貨柜碼頭等需要支付出/入倉費或排隊等候的特殊地址收取或派送快件的,寄件人或其指定的付款人應承擔出/入倉費及額外的附加服務費。若本公司已墊付出/入倉費的,寄件人或其指定的付款人應當償還代墊款項,除非寄件人在寄件時已明確指示若需支付出/入倉費則不予收取或派送。
    8. 寄件人可作出不同的付款指示(澳洲運往中國除外),但如果收件人或第三方不履行付款責任時,寄件人須對與本票托寄物運輸有關的所有費用負責,包括但不限于往返運費、倉儲費、保價費、入倉費等。
    9. 免費派送未能交付的快件,若收件人要求額外派送的,需承擔額外派送費;若收件人要求自提的,應在3天內提取,否則需支付逾期的倉儲費;超出15天,本公司可變賣托寄物并就有關費用優先受償。
    10. 無法派送的托寄物,若收件人要求退回,則雙程費用均由寄件人承擔;若寄件人在托運時選擇保價,則視為寄件人在要求退回時亦選擇保價,寄件人須支付雙程保價費,但寄件人在要求退回時明確聲明不選擇保價的除外。
    11. 無法派送的托寄物,若聯系不到寄件人,或寄件人不作出明確指示的,除不易保存的物品外,本公司將對托寄物保存15天。期限屆滿,本公司可變賣托寄物并就有關費用優先受償。
    12. 若寄件人或收件人未付清運費及其他費用的,本公司有權留置托寄物,留置期限為15天(自寄件之日起計算)。期限屆滿,寄件人或收件人仍未付清費用的,本公司可變賣托寄物并優先受償。
    13. 因不可抗力,或托寄物的自然性質、內在缺陷或合理損耗,或寄件人、收件人的自身過錯,造成托寄物毀損、滅失或延誤派送、無法派送的,或者寄件人自寄件之日起30天內未提出賠償要求的,本公司不負賠償責任。
    14. 如發生因本公司的原因造成托寄物丟失的,若寄件人已選擇保價,則本公司按托寄物的聲明價值和損失比例賠償,托寄物的聲明價值高于實際價值的,按實際價值賠償;若寄件人未選擇保價,本公司只退回本次運費,不予賠償。
    15. 選擇代收貨款業務的,需先與本公司簽署《代收貨款協議》。
    16. 寄件人可于在把貨物找中環快遞托寄的90天以后以及不遲于120天之內找中環快遞進行索賠。
    17. 已按實際價值或聲明價值獲得賠償的托寄物,其所有權及其相關的索賠權力在理賠后即按比例轉移至本公司所有。
    18. 本服務條款所稱托寄物的“實際價值”,指托寄物本身的價值,不包括其可能獲得的收益、利潤、實際用途,或在市場上任何直接、間接損失,或特殊行業價值損失。
    19. 寄件人有義務按照約定時間償付所欠本公司的運費,不得已理賠尚未結束為由拒付,亦不得擅自從所欠運費中直接扣除。
    20. 本公司有權保留、拒絕及放棄運載任何人或任何公司之物品及對運載過程中之延誤,均不作任何保證及責任。
    21. 本服務條款未規定的,按照國家快遞服務行業標準執行。
    22. 本服務條款中文版本僅供參考,以上面英文版本為準。
    23. 本服務條款解釋權歸中環快遞所有。
